Terms of Use – AI Loop TechnologiesThe following Terms and Conditions (“Terms”) apply to all development, design, AI, data, marketing, consulting, and related services provided by AI Loop Technologies, a venture of Softnix Innovations Private Limited (“AI Loop,” “we,” “us,” or “our”), to the client (“Client,” “you,” or “your”).By purchasing, accessing, or using our services, you confirm that you have read, understood, and agreed to these Terms.1. Focus Areas of Our ServicesAI Loop Technologies provides services in the following areas:Artificial Intelligence & Machine LearningAI Avatars & Conversational AIWeb & Mobile Application DevelopmentCloud & DevOps SolutionsData Analytics & AutomationDigital Marketing & SEOHosting & Infrastructure Consulting2. Acceptance of TermsFormal acceptance or signature is not required for these Terms to be enforceable. Acceptance of a proposal, quotation, invoice, or initiation of services constitutes full acceptance of these Terms.3. Engagement ModelsAI Loop Technologies operates under the following engagement models:Dedicated Resource Model – Long-term engagement for mid to large projectsFixed Price Model – Clearly defined scope, timeline, and costTime & Material Model – Billing based on actual effort and resources usedBucket Model – Prepaid hourly bundles for small or evolving tasks4. Quality of ServiceWe strive to deliver services of the highest professional standard within agreed timelines and scope. While we aim to exceed expectations, outcomes depend on multiple external and client-controlled factors.5. Client ResponsibilitiesTo ensure successful delivery, the Client agrees to:Provide clear and accurate requirementsShare timely feedback and approvalsRaise concerns promptly for resolutionAttend scheduled demos and reviewsInform us of any planned unavailabilityDelays caused by the Client may result in revised timelines or costs.7. What We Will Not DoAI Loop Technologies will not:Breach of project confidentialityWork on live servers without explicit authorization (except SEO/marketing tasks)Retain or generate live production data without consentTolerate abusive or unethical conduct toward team members8. Invoicing & PaymentsPayment of any advance or invoice constitutes acceptance of these Terms.Rates are calculated as per the agreed contractWeekly: 8 hours/day, 5 days/weekDaily: 8 hours/dayBucket hours must be used within the agreed validity periodInvoices are payable before work commencementNon-payment may result in project suspension and removal of files from our systems.All fees are exclusive of applicable taxes unless stated otherwise.9. Limitation of LiabilityNeither party shall be liable for indirect, incidental, special, or consequential damages, including loss of profits, business, or revenue, except where caused by proven negligence or willful misconduct.10. Disclaimer of WarrantiesAI Loop Technologies does not guarantee specific business results such as increased revenue, traffic, conversions, or brand recognition. Services are delivered as per agreed specifications only.11. Design & Development CreditUnless otherwise agreed, AI Loop Technologies may display a small textual or graphical credit on delivered digital assets and include the project in its portfolio.12. Use of Online Project Management ToolsTemporary access to AI Loop’s project management platforms may be provided.Access may be modified or withdrawn at any timeLogin credentials must be kept confidentialWe do not guarantee uninterrupted or virus-free accessClients are responsible for securing their systemsMisuse or unauthorized access attempts may result in immediate suspension.13. Intellectual Property RightsEach party retains ownership of its pre-existing intellectual property. Intellectual property created during the engagement shall be governed by the applicable agreement or statement of work.14. Problem ResolutionIn case of dissatisfaction, concerns must be raised with:Assigned Developer or SpecialistProject ManagerAccounts Team (for billing issues)We aim for an amicable and professional resolution.15. Non-Derogatory ConductClients agree not to make defamatory or damaging public statements about AI Loop Technologies. Concerns must be addressed through official communication channels.16. Non-Compete & Non-SolicitationDuring the engagement and for its duration, the Client shall not directly or indirectly solicit or hire AI Loop employees or contractors.17. Entire AgreementThese Terms constitute the complete agreement between the parties and supersede all prior oral or written agreements or representations.18. Copyright & OwnershipAll content, materials, and deliverables (excluding third-party assets) are protected under applicable copyright laws. Unauthorized use is strictly prohibited.19. Refund PolicyRefunds are considered only in exceptional circumstances and are subject to strict evaluation.Refund Eligibility (All Conditions Must Be Met):Work has not commencedThe issue is beyond rectificationPayment terms have not been violatedNo misuse of shared informationValid documentation submittedNo chargeback or payment gateway dispute raisedRefund decisions are final and binding.Refund Processing:Verification and approvalConfidentiality confirmation and data destructionProcessing time: 7–10 business daysCurrency conversion or bank charges are borne by the Client20. GDPR Compliance (EEA & UK Users)AI Loop Technologies complies with the General Data Protection Regulation (GDPR) for users located in the European Economic Area (EEA) and the United Kingdom.Data Processing:Personal data is processed only for legitimate business purposes, contractual obligations, or with user consent.Your GDPR Rights:You have the right to:Access your personal dataRectify inaccuraciesRequest deletion (“Right to be Forgotten”)Restrict or object to processingRequest data portabilityWithdraw consent at any timeRequests can be made by emailing info@ailoop.in. Governing Law & JurisdictionThese Terms shall be governed by and construed in accordance with the laws of India.All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India.22. Changes to TermsAI Loop Technologies reserves the right to modify these Terms at any time. Updated versions will be published on our website, and continued use of services constitutes acceptance.23.
